Terms of service

These terms govern your use of richardsonandward.com (the "Site") and any order you place through it. Throughout, Richardson and Ward is "we", "us" or "our", and you are the person visiting the Site or buying from it. Please read them before checking out, because placing an order means you accept them in full. If any part of them does not work for you, the simplest course is not to use the Site.

1) The words we use

A few terms recur below, so it helps to set them out plainly:

  • "Site" means richardsonandward.com and all of its pages and features.
  • "Products" means anything we offer for sale on the Site.
  • "Order" means a request you place through the Site to buy Products.
  • "Material" means the text, images, photography, design, code and other content shown on the Site.

2) Who may use the Site

The Site is meant for adults. By using it, you confirm that you are at least eighteen years old, or that a parent or guardian aged eighteen or over is supervising your use and consents to it. If we find that an Order was placed by a minor without that consent, we may cancel it.

3) Your account

You can shop without an account, though you may create one to make future Orders quicker. If you do, you are responsible for the accuracy of the details you give us, for keeping your password private, and for everything that happens under your login, whether or not you authorised it. Where we have reason to believe an account is being used for fraud or in breach of these terms, we may suspend or close it.

4) Your privacy

How we collect and handle your personal information is explained in our Privacy Policy, which forms part of these terms. By using the Site, you confirm that you have read and understood it.

5) Placing an Order and when it becomes binding

Submitting an Order is an offer by you to buy the Products in it. That offer is not accepted, and no contract exists between us, until we send you an Order confirmation by email. We may decline or cancel an Order before that point, or cancel and refund it afterwards, for reasons that include:

  • a mistake in a Product's description, image or price
  • a payment we cannot verify, or one we suspect is fraudulent or unauthorised
  • stock that is limited or no longer available
  • a delivery address we are not able to ship to

If we cancel an Order you have already paid for, we refund the full amount to your original payment method.

6) Prices and payment

All prices are shown in US dollars and do not include any taxes or duties that may apply, which are worked out at checkout. We try to keep prices accurate, but if an error slips through, we will contact you before processing the Order so you can choose between paying the corrected price or cancelling for a full refund. Payment is taken through the methods shown at checkout. By paying, you confirm that the card or account is yours to use and holds sufficient funds. We do not process an Order until payment has cleared, and we may cancel any Order where payment is declined or cannot be authorised.

7) Offers and discount codes

From time to time we may run promotions or issue discount codes. Unless we state otherwise, a code applies to a single Order, cannot be combined with another offer, holds no cash value, and stops working after its expiry date. We may end any promotion early, and we may refuse a code that appears to have been obtained or used against these terms.

8) Product descriptions and availability

We describe and photograph every Product as carefully as we can. Even so, screens and lighting differ, so colours and finishes may look a little different in person. Listing a Product is not a promise that it is in stock at the moment you order, and we may change, withdraw or stop offering any item without notice.

9) Delivery

How and when we ship, including processing times and estimated transit windows, is set out in our Shipping Policy, which forms part of these terms. Any delivery estimate is given in good faith and is not a guaranteed date. We are not responsible for delays caused by events outside our control, such as carrier problems, severe weather or other disruption.

10) When ownership and risk pass to you

Ownership of, and responsibility for, your Products passes to you once the carrier hands them over at your delivery address, or to anyone you have nominated to receive them.

11) Returns, refunds and exchanges

Everything to do with returns, refunds and exchanges is covered in our Return and Refund Policy, which forms part of these terms. It is worth reading before you buy.

12) Using the Site responsibly

We grant you a personal, limited and non-transferable right to use the Site for your own private, non-commercial purposes, and we may withdraw that right. In return, you agree not to:

  • use the Site for anything unlawful, fraudulent or harmful
  • try to reach parts of the Site, servers or networks you have no permission to access
  • scrape, harvest or extract data by automated means, or reverse engineer any part of the Site
  • overload, disrupt or interfere with the Site or the systems behind it
  • introduce viruses, malware or any other harmful code
  • impersonate anyone or misstate your connection to any person or organisation
  • copy, republish or otherwise exploit any Material without our written permission

If you break any of these, we may end your access at once, on top of any other steps open to us in law.

13) Our intellectual property

The Material on the Site, the name Richardson and Ward, our logos, product names, photography, written copy, and the look and layout of the Site itself, belongs to us or to those who license it to us, and is protected by US and international law. Using the Site gives you no right to use any of it beyond what these terms expressly allow.

14) Anything you post or send us

If you send us a review, comment, photograph or other material, you give us a worldwide, royalty-free, perpetual and transferable right to use, reproduce, adapt, publish and display it in running and promoting our business. You confirm that the material is your own, that it breaks no one else's rights, and that it contains nothing unlawful, defamatory or offensive. We may remove anything submitted to us whenever we see fit.

15) Links to other services

The Site may link to, or work alongside, services run by other companies. We offer these for convenience only and do not control or accept responsibility for them. If you deal with a third party, that dealing is governed by their terms, not ours.

16) The Site is provided "as is"

We provide the Site and everything on it on an "as is" and "as available" basis. As far as the law allows, we make no warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not promise that the Site will always be available, uninterrupted, secure or free of errors or harmful code.

17) The limits of our liability

As far as the law allows, Richardson and Ward, along with its officers, employees and agents, will not be liable for any indirect, incidental, special or consequential loss, for any loss of profit, data, goodwill or opportunity, or for any loss arising from your use of, or inability to use, the Site or any Product bought through it. Where liability cannot be excluded, our total liability for any single Order will not exceed what you paid for the Products in that Order. Nothing in these terms removes any liability that the law does not permit us to remove, including liability for fraud or for death or personal injury caused by our negligence.

18) Covering certain claims

You agree to cover us, together with our officers, employees and agents, against any claim, loss, cost or expense, including reasonable legal fees, that arises from your breach of these terms, your misuse of the Site or any Material, or your breach of the law or of anyone else's rights.

19) Events beyond our control

We are not liable for any delay or failure to meet our obligations where the cause lies outside our reasonable control. That includes natural disasters, severe weather, pandemics, war or civil unrest, government action, strikes, failures by carriers or suppliers, internet outages and cyber attacks.

20) Suspending or ending your access

We may suspend or end your access to the Site, without notice, where we believe you have broken these terms or acted in a way that could harm our business, our reputation or other customers. Ending your access does not undo any rights or obligations that already existed at that point.

21) Resolving a disagreement

If you have a complaint, please contact us first at customersupport@richardsonandward.com and set out the problem, so we can try to settle it directly. We will work with you in good faith and aim to resolve matters within thirty days of hearing from you. If we cannot resolve it that way, you and Richardson and Ward agree that the dispute will be decided by binding arbitration under the Consumer Arbitration Rules of the American Arbitration Association, conducted in English, with any award enforceable in a court that has jurisdiction. You and Richardson and Ward also agree to bring any claim only on an individual basis, and not as part of any class, collective or representative action, to the extent the law allows.

22) Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Where a dispute is not subject to arbitration, you agree that the courts of the State of New York will have jurisdiction.

23) Other terms

  • These terms, together with our Privacy Policy, Shipping Policy and Return and Refund Policy, are the whole agreement between us about your use of the Site, and replace anything agreed before on the same subject.
  • If any part of these terms is found to be invalid, the rest stays in force.
  • If we do not enforce a term straight away, we keep the right to enforce it later.
  • You may not transfer your rights under these terms without our written consent. We may transfer ours freely.
  • Any notice to us should be sent in writing to customersupport@richardsonandward.com. Any notice to you will go to the email address you gave when ordering or registering.

24) Changes to these terms

We may update these terms as our business, our services or the law change. The current version always sits on this page with its effective date. If you keep using the Site after we post an update, that counts as accepting the new version.
